Reseller Program Terms

Certain Partners in Shopify’s Partner Program (“Reseller Partners”) are authorized to resell certain Shopify online store subscriptions, POS Pro subscriptions, and POS Hardware (the “Resale Services”) to Merchants (“Merchant Clients”) according to the terms below. These Reseller Partners must enter into a Reseller Partner Addendum with Shopify in order to resell to Merchant Clients. For purposes of these Reseller Program Terms, “Partner Terms” means the Partner Program Agreement available at https://www.shopify.ca/partners/terms, including all applicable additional terms, and “API Terms” means the API License and Terms of Use available at https://www.shopify.com/legal/api-terms.

Shopify Resale Services and Revenue Share to Shopify

Reseller Partners are authorized to resell the Resale Services below to Merchant Clients for their own use.

Reseller Partners will pay to Shopify a reduced rate for each of the respective Resale Services (the “Reseller’s Price”). The Reseller’s Price is calculated by taking the List Pricing, which means the rates shown at https://www.shopify.com/pricing or, for Plus plans, the rates shown at https://www.shopify.com/plus/pricing (and for regions outside of the United States, the rates shown at the same URL in the respective region’s top level domain) when a merchant elects to pay for their chosen service plan on a yearly basis, and reducing the respective rate by a certain percentage (the “Discount Rate”) laid out in the Reseller Partner Addendum. Shopify will send an invoice to Partner in USD based on up-to-date currency exchange rates from the local currency. On the date of payment, Partner will pay to Shopify the invoiced amount in USD. For clarification, the List Pricing used to calculate the Reseller's Price will be without any promotions, incentives or discounts that may be included in the links for such List Prices (e.g. reduced rates for first x months, free month(s), etc.) which do not apply to any resold Shopify plans.

Reseller Partner will pay Shopify up front, in advance, for the Reseller’s Price for the full 12 month subscription term for all POS Pro subscription plans and all store subscription plans except Plus plans. Plus plans are eligible to be paid by the Reseller Partner on a monthly basis at the beginning of the month.

Shopify reserves the right to bill Merchant Clients directly for charges incurred as a result of the Merchant Client adjusting or extending their Shopify subscription(s) beyond what was paid by Reseller Partner when the Merchant Client purchased their Shopify subscriptions via Reseller Partner.

Additionally, if a Merchant Client elects to purchase Shopify products or services that are not included in the Resale Services set forth above (e.g., themes, apps, shipping labels, etc.), such additional products and services are outside the scope of the Reseller Program Terms. Shopify will bill Merchant Clients directly for such products and services.

If a Merchant Client is on a plan with Platform Fees (as defined in the Reseller Shopify Plus Terms of Service For Merchant Clients located in the Merchant Client admin settings), the applicable List Pricing will be billed to Merchant Client by Reseller Partner and any fees in excess of the List Pricing will be billed directly to the Merchant Client by Shopify. With respect to any Platform Fees, Shopify will remit to Reseller Partner an amount equal to the excess fees billed to Merchant Client multiplied by the Discount Rate (the “PF Share”) within 30 days of the end of month in which Shopify received the corresponding payment from the Merchant Client. Shopify may deduct any overdue amounts owed to Shopify by Reseller Partner from the PF Share. All payments are made in USD and subject to Section 3 of the Partner Terms.

Online Store Subscription Resale Terms

Basic, Grow, Advanced and Plus plans are eligible for resale. Plus plans may have a 12 or 36 month subscription period. All other plans have a 12 month subscription period. Other store plans (e.g., Starter) are not eligible for resale. Promotions and discounts do not apply to resold Shopify plans.

For all Merchant Clients on Plus plans, Shopify will provide hosting, software and commerce services for the store(s) at the URL(s) Merchant Client designated at the time Merchant Client signed up for, and commenced using, the Services and for up to nine (9) expansion stores, which may be activated by Merchant Client from the admin. Merchant Clients signed up under a Plus plan are strictly prohibited from adding any expansion stores in excess of the nine (9).

Pricing is determined on the date that the Merchant Client accepts the Development Store transfer from the Reseller Partner (the “Acceptance Date”). The Subscription Term begins on the Acceptance Date and will renew on the same date the following year or, in the case of a 36 month term, the third year thereafter (the “Renewal Date”).

POS Pro Subscription Resale Terms

12 month POS Pro subscription plans are eligible for resale for all Basic, Grow, and Advanced plans. Monthly subscriptions and subscription periods longer than 1 year are not eligible for resale. Promotions and discounts do not apply to resold POS Pro subscription plans. POS Pro subscriptions are an add on to a Shopify Store subscription and thus cannot be sold on a standalone basis.

All Merchant Clients on Plus plans will be entitled to open up to twenty (20) POS Pro locations (the “POS Pro Location Cap”) included with the purchase of a Plus subscription and are strictly prohibited from exceeding the POS Pro Location Cap.

Pricing is determined (a) on the Acceptance Date for POS Pro subscriptions ordered as of the Acceptance Date, or (b) at the time of the upgrade, if the POS Pro subscription is added after the Acceptance Date.

The Subscription Term for POS Pro begins on the Acceptance Date or at the time of the upgrade, if the POS Pro subscription is added after the Acceptance Date, irrespective of the date on which the Merchant Client begins using the POS Pro Subscription.

Shopify POS Hardware Terms

All Shopify POS Hardware Resale Services (“Hardware”) shall be shipped FOB Shopify's specified location with title and risk of loss passing to the Reseller Partner upon shipment. All ship dates specified by Shopify are estimates, and Shopify is not responsible for any failure to meet requested or scheduled ship dates. Shopify shall have the right to allocate available Hardware among its customers, distributors and/or resellers in its sole discretion. 

The purchase price for POS Hardware does not include shipping or taxes applicable to Reseller Partner's sale of the Resale Services (which shall be the obligation of the Reseller Partner), and is exclusive of all state and local taxes.

Hardware Care, Customer Service, and Other Quality Controls

  1. Reseller Partner will provide purchasers of the Hardware with Shopify-provided Hardware instructions. Reseller Partner will comply with all Hardware storage, safety, and shipping requirements. Reseller Partner will not conceal or obscure the country of origin on original packaging of the Hardware. If new packaging or container is required, the country of origin is required to be marked in a conspicuous place, as legibly and permanently as the nature of the container will permit.
  2. Reseller Partner will comply with all instructions provided by Shopify regarding the storage, handling, shipping, disposal, or other aspect of the Hardware, including instructions provided on Hardware labels. Reseller Partner will store Hardware in a cool, dry place, away from direct sunlight.
  3. Reseller Partner will sell Hardware in its original packaging. Relabeling, repackaging (including the separation of bundled Hardware or the bundling of Hardware), and other alterations to Hardware or its packaging are not permitted. Reseller Partner will not remove, translate, or modify the contents of any label or literature on or accompanying the Hardware. Reseller Partner will not tamper with, deface, or otherwise alter any serial number, UPC code, or other identifying information on Hardware or its packaging.
  4. Reseller Partner will not represent or advertise any Hardware as “new” that has been returned open or repackaged.
  5. Promptly upon receipt of the Hardware, Partner will inspect the Hardware and its packaging for damage, defect, broken seals, evidence of tampering, or other nonconformance (a “Defect”). If any Defect is identified, Reseller Partner must not offer the Hardware for sale and must promptly report the Defect to Shopify.
  6. Reseller Partner will cooperate with Shopify with respect to any Hardware tracking systems (e.g., serial number tracing) that may be implemented from time to time.
  7. Reseller Partner will cooperate with Shopify with respect to any Hardware recall or other consumer safety information dissemination efforts.
  8. Reseller Partner will report to Shopify any customer complaint or adverse claim regarding the Hardware of which it becomes aware. Reseller Partner will assist Shopify in investigating any such complaints or adverse claims.
  9. Reseller Partner will cooperate with Shopify in the investigation and resolution of any quality or customer service issues related to Reseller Partner’s sale of the Hardware, including disclosing information regarding Hardware sources, shipment, and handling.
